1. Introduction

1.1 We are Caasa Solutions Limited, trading as Caasa, (us, our, we), a company registered in England and Wales. Our registered address is Caasa Solutions Limited, Kemp House, 128 City Road, London, EC1V 2NX.

1.2 By signing up for a Caasa subscription, you are creating a Caasa account & therefore you are agreeing to be bound by the following terms and conditions (“Caasa Terms”). These terms are to be read in conjunction with:

our Privacy Policy, which sets out the terms on which we process any personal data we collect from you, or that you or others provide to us; and

our Cookies Policy, which sets out information about the cookies we use.

1.3 These Caasa Terms are important. Please read them carefully as they contain details of our statutory and regulatory responsibilities to you, and your contractual obligations to us. They also set out the basis on which we provide, and you are permitted to use, the various services (“Caasa Services”) made available on the website www.caasa.co.uk.

1.4 You can review the current version of the Caasa Terms at any time on this page. We reserve the right to change the Caasa Terms at any time by posting updates to this page. If we make substantial changes, or if we are required to do so by law, we will notify you of such change in advance to the email address associated with your Caasa Account, but it is your responsibility to check this page from time to time to make sure you're aware of any changes to these Caasa Terms.

If you do not agree to these Caasa Terms, please do not create a subscription or use the platform.

Account Eligibility & Maintenance

To subscribe for Caasa, you must first register for a Caasa Subscription Plan on the Platform (“Caasa Account”). By registering for a Caasa Account, you warrant that you:

Are 18 years of age or older.

Accept these terms and conditions, the Privacy Policy and the Cookie Policy.

You hereby represent and warrant that the information you provide upon subscribing to Caasa, and at all other times, will be true, accurate, current, and complete. You will ensure that this information is kept up-to-date at all times.

You are responsible for any use of Caasa Services, and for protecting your Caasa Account from unauthorised use. You must not share this information with any other person. You are also responsible for the security of any computer from which you choose to sign into your Caasa Account.

We reserve the right to refuse to register or to delete your Caasa Account if you have previously had a Caasa Account deactivated by us due to your breach of these Caasa Terms (or earlier versions thereof).


Access To The Website

Caasa will make reasonable efforts to make the Platform and Services available 24 hours a day, 7 days a week. Notwithstanding this, you hereby acknowledge that your use of the Platform and the Services may be interrupted from time to time, for example, when we perform maintenance services or as a result of delays or delivery failures resulting from the use of communications networks and facilities.

Access to the Platform and use of the Services is provided on an “as is” basis which means that we do not warrant the Platform or Services will be error-free at all times, and we shall not be liable to you for failure of the same.


Caasa Services

We will provide the Caasa Services below using reasonable skill and care and in accordance with our legal and regulatory obligations. We reserve the right (without liability to you or prejudice to our other rights) to suspend your access to or use of the Caasa Services (including through deactivation of your Caasa Account) without notice in the event you breach, or we reasonably suspect that you have breached or will breach, these Caasa terms.

  1. Rewards Platform
  2. The Rewards Platform is a subscription based service, details of the subscription plans are provided below. The Rewards Platform will allow users to access online & in-store discounts & offers at a range of local and national retailers &/or brands that have been negotiated by Caasa's rewards platform partner(s).

    The Rewards Platform service is provided on Caasa's behalf by Vaboo Limited (“Vaboo”) a company registered in England and Wales, company registration number 09521467, with registered office at 20-22 Tudor Street, London EC4Y 0AY, United Kingdom.

    Vaboo Limited will receive and is also a controller of users' Personal Data necessary for the provision of the Rewards Platform, as further described in our Privacy Policy.

  3. Monthly Prize Draw
  4. All users who are subscribed to the Caasa Rewards Platform, will also be able to enter a monthly prize draw for no additional fee.

    The prize draw is fully funded by Caasa's Rewards Platform partner Vaboo.

    Caasa platform users will not be automatically entered in to the prize draw, but will be provided with instructions as to how they are registered as an entrant into the draw. Once a user has entered a given month's draw, they will continue to be considered an entrant for all subsequent months, for as long as their subscription remains active.

    The 1st prize for each month is the payment of a month's rent. A month's rent is defined as the average rent paid in the UK excluding Greater London, according to the Homelet Rental Index. This prize is only available to users who are classified as a "Renter” or “Tenant”, which is classified as someone that is renting or who is actively looking to rent a property.

    All other prizes that are available for any given month, are made known on the Rewards Platform.

    Details of when the results of the prize draw will be announced for the preceding month are available via the Rewards Platform.


Subscription Fees

The Caasa Platform products and services are accessed via a 1 year subscription service. The cost to access, which is the Subscription Fee, is detailed below:

  1. Caasa - Standard: a year's subscription service which costs £30.00 (equating to £2.50 per month). This includes access to the Rewards Platform and the monthly prize draw.

  2. The Subscription Fee is due in advance and you can opt to pay it in full, and use the Caasa Services for one year starting on the date you pay for the Subscription Fee. Payment of the Subscription Fee can be made in full using a debit card on the Platform.

    You may choose to spread the cost of the Subscription Fee on credit terms by paying it in 12 equal monthly instalments. These terms will act as an exempt credit agreement under Section 60F (2) of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001, in that it is a borrower-lender-supplier agreement for fixed sum credit where credit is provided without interest or other charged over a period of 12 months or less, and repayable in no more than 12 instalments.

    The first Subscription Fee Instalment will be due on the date you subscribe to the Caasa Services, with the remaining 11 Subscription Fee Instalments due on the same day each month after (“Repayment Date”) until you have repaid the Subscription Fee in full.

    If your Repayment Date falls on a non-working day, your Subscription Fee Instalment will be due on the next working day. However, where the Repayment Date cannot be the same day of a particular month i.e. if there is no corresponding Repayment Date within a certain month, for such month the Repayment Date shall be the nearest day before.

    By subscribing to Caasa, you confirm that you have entered into this commitment in full consideration of any likely changes in your own personal circumstances over this period.

Renewal Of Subscription

Your subscription to Caasa will automatically renew at the end of the subscription period for another 12 months unless you provide at least 14 days' notice that you do not wish to renew prior to the end of your subscription.

We will end an automatic renewal reminder four weeks prior to the renewal date. Such a reminder will include terms of the proposed renewal and the steps you need to take to notify us if you do not wish to renew. Once your subscription renews you will have the ability to cancel the renewed subscription for up to 7 days following renewal, by contacting Caasa Support.

Subscription Payments

Subscription payments will be processed by a third party payment processor, Stripe, in accordance with its standard terms and conditions: https://stripe.com/payment-terms/legal.

    You hereby give consent:
  • (a) to us sending you electronic communications (including via email and text) in relation to upcoming, successful and late/outstanding payments managed via the Platform; and

    (b) for the payment processor to access your bank account which is nominated by you from time to time, and to either deduct or deposit the applicable amount, less (where you are the payee) any fee which may apply.

You acknowledge and agree that when using the Stripe services on our Platform, you will comply with Stripe's end user licence agreement in respect to your use of the Stripe service. We also shall not be liable to any person if the payment processor is not able to deduct or deposit any amount due to insufficient funds or incorrect bank account details.


Intellectual Property

All Intellectual Property Rights in or arising out of or in connection with the Services shall be owned by us.

The Customer acknowledges that, in respect of any third party Intellectual Property Rights, the Customer's use of any such Intellectual Property Rights is conditional on us obtaining a written licence from the relevant licensor on such terms as will entitle the Supplier to licence such rights to the Customer.

All materials supplied to the Customer are our exclusive property.


Liability

You agree to the following limitations on our liability to you:

  1. Exclusion of certain losses: Caasa shall not be liable to you for any loss of profits, business, anticipated savings, goodwill or business opportunity, business interruption, loss or corruption of data or information (subject to our liability to you as data controller of personal data), or for any special, indirect or consequential loss or damage, howsoever arising under these Caasa Terms;

  2. Cap on liability: Caasa's maximum aggregate liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of these Caasa Terms shall be limited to liability to the greater of: (a) £100; or (b) the aggregate of the amount (if any) paid by you to us in the 6 months immediately preceding you bringing a claim against us.

Further, due to the nature of the Platform, we do not take responsibility for the following:

  1. Network problems: the transfer of content and data over communication networks and facilities, including the internet, is subject to limitations, delays and other problems inherent in the use of such communication facilities. We are not responsible for any loss, damage, delay or failure resulting from such transfers or any other event beyond our reasonable control;

  2. Results of Caasa Services: you assume full responsibility for results achieved or obtained from the use of the Services, and for conclusions drawn from such use. We do not warrant that the Services or any information obtained by you through the Services will meet your particular requirements; and

  3. Your actions, instructions and breach: Caasa shall have no liability for any loss or damage caused by errors or omissions in any content or information provided by you to Caasa in connection with the Services, or any action taken by Caasa as a result of your direction, or your breach of these Caasa Terms.

Nothing in these Caasa Terms shall exclude either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation or breach of the Supply of Goods and Services Act 1982 (title and quiet possession).

All warranties, conditions, representations or other terms implied by statute or common law in relation to the Platform and any Caasa Services provided by us are excluded to the fullest extent permitted by law.


Cancellation & Termination

Cancellation

You may cancel your subscription to Caasa within 14 days starting from the day you subscribe to Caasa by using the online account maintenance cancellation facility. To receive any refund due, please contact Caasa Support.

Your access to the Caasa Platform will be discontinued within 48 hours of cancelling your subscription.

You will not be entitled to a refund of the Subscription Fee if you cancel after the first 14 days of your subscription, but no further Subscription Fee Instalments will be taken. If you cancel the subscription early (before the 12 months), the exempt credit agreement will be reported to the credit reference agencies as being settled, which has no detrimental impact to your credit score, provided that the fee is paid in full.

Termination

We may terminate the Caasa Services with you and deactivate your Caasa Account immediately in the event:

You commit a material or persistent breach of the Caasa Terms, we lose the right to provide you with the Platform or any of the Caasa Services, or where the provision of the Platform or any of the Caasa Services becomes unlawful.

You have not paid a Subscription Fee Instalment by 14 days after the relevant Repayment Date.

If we terminate your subscription, we may:

  1. Charge you for any outstanding amount remaining in respect of the Subscription Fee (for example, any outstanding Subscription Fee Instalments);

  2. Send your details to third party debt collectors; and/or

  3. Take any action which is necessary in our opinion to recover our losses.

If we terminate your use of Caasa Services, you must:

  1. Stop all activities authorised by these terms, including your use of any Caasa Services; and

  2. Immediately destroy all copies of any pages from the Platform in regards to the Caasa Services which you have downloaded or otherwise stored.

If your subscription has been terminated and you would like to re-subscribe, we have the right to require payment in full of any outstanding amount owed to us.

If we are unable for any reason to continue to provide the Caasa Services, we may terminate your subscription by providing you with 30 days' notice. In such circumstances, we will provide a refund for the Subscription Fee in respect of any unexpired portion of your subscription, or will not charge any remaining Subscription Fee Instalments from the termination of your subscription.


Privacy

See our Privacy Policy and Cookies Policy which are hereby incorporated into the Caasa Terms by reference, for more information about how your personal data will be processed by us.


Other Important Terms

Assignment and other dealings: you may not assign, transfer, sub-license or deal in any other manner with any or all of your rights or obligations under these Caasa Terms, without our prior written consent. We reserve the right to transfer, assign, sub-contract or deal in any other manner with any or all of our rights or obligations under these Caasa Terms, without notifying you or receiving your consent.

Waiver: if we do not insist immediately that you do anything you are required to do under these Caasa Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

Third Party Rights: No one other than a party to these Caasa Terms, their successors and permitted assignees, shall have any right to enforce any of its terms.

Entire Agreement: These Caasa Terms, and all documents referred to in them, constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

Governing Law / Jurisdiction: These Caasa Terms are governed by English law and you can bring legal proceedings in respect of any dispute or claim arising out of or in connection with these Caasa Terms in the English courts.
